Acquisitions
1- Acquisition by multinational company of the shares of a Sudanese company in the field of oil. This transaction involved acquisition of shares of companies in six African countries including Sudan. The firm represented the buyer in conducting legal due diligence regarding the target company’s shares and other corporate aspects, real property, contracts, finance agreements and securities, regulations including business permits and licences, litigation and other general legal matters; instructing lawyers: Africa Legal Network, Anjarwalla & Khanna (Nairobi). (July/August 2007).
2- Acquisition of shares and Businesses by an Indian based company in a Sudanese Group. The firm represented the buyer in conducting Due Diligence on Legal Aspects of the Proposed Acquisition, including corporate, employment, leases, contracts and litigation. (March 2011).
3- Acquisition of shares of a Sudanese company in the field of air handling services by a Gulf based company. The firm represented the buyer in (i) conducting due diligence including corporate, contracts, investment law, business names, leases, assets and equipment, employees,
licenses, franchise, finance and security agreements, litigation; (ii) preparation of share sale/purchase agreement and related contractual documents; (iii) overseeing closing of the transaction. (September 2010).
4- Due diligence and legal advice to a Gulf based company regarding acquisition of cement packing terminal in Sudan. Due diligence covered corporate, employees, real estate, litigation, taxation,
licenses, foreign ownership; instructing lawyers: Denton Wilde Sapte, Muscat Branch, Oman. (February 2010).

1- International arbitration between a foreign company and a Governmental body, London. Acted as expert witness in this international arbitration case before the Court of Arbitration, International Chamber of Commerce, London; instructing lawyers: Clifford Chance, London. (November 2006).
2- International arbitration, between a Mid-eastern Group and a Chinese company, Stockholm; acted as part of the legal team representing the claimant (represented by Denton-Wilde- Sapte, Dubai) in this international arbitration before Stockholm Chamber of Commerce. (August 2007).
3- International Arbitration: Legal Advice to a Gulf based company, regarding arbitration at Dubai International Arbitration Centre, acting as co-counsel; instructing lawyers: Lutfi & Co, Dubai. (May 2011).
4- International Arbitration: Acted as expert witness in arbitration between certain oil companies and a Governmental body under the UNCITRAL Arbitration Rules, conducted in London; instructing lawyers: Watson, Farley & Williams, Thailand. (July 2010).
